ScaleIQ Terms of Service

These Terms and Conditions (“Terms”) form a legally binding agreement between ScaleIQ Business Solutions Inc. (“ScaleIQ,” “we,” “our,” or “us”) and you (“Member,” “Participant,” “Sponsor,” or “User”).
By enrolling in any ScaleIQ membership, event, or sponsorship, or by using any associated software, tools, or services, you agree to these Terms in full.

  1. Purpose and Scope

1.1 Overview

ScaleIQ provides peer-learning forums, educational programs, digital tools, and community events (collectively, the “Services”) that help members improve leadership, operations, and business growth.
Participation in any ScaleIQ program or event does not guarantee business results, revenue growth, or personal outcomes.

1.2 Agreement Scope

These Terms govern all participation in ScaleIQ programs, events, online tools, or any related interactions between you and ScaleIQ.

  1. Eligibility and Acceptance

2.1 You must be of legal age and capacity to enter into a binding contract.
You represent that you are enrolling on behalf of yourself or, if applicable, your organization, and that you have authority to bind that organization to these Terms.

2.2 By registering or participating, you confirm that you have read and accepted these Terms, the Code of Conduct, and the Confidentiality Charter.

2.3 If you do not agree, you must not enroll, attend events, or use any ScaleIQ materials or platforms.

  1. Memberships, Fees, and Renewals

3.1 Membership Levels
ScaleIQ offers several membership tiers, each with different benefits. Details are provided during enrollment.

3.2 Fees and Payment Terms
• All membership and event fees are due as stated in your invoice or enrollment confirmation.
• Fees are non-refundable except where required by law or expressly agreed in writing.
• Non-payment may result in suspension or termination of access.

3.3 Renewals
Memberships may automatically renew per your selected billing cycle.
Members may cancel renewals by providing written notice in accordance with the applicable policy.

  1. Educational and Facilitation Purpose

4.1 ScaleIQ programs and materials are for educational and developmental purposes only.
4.2 They do not constitute legal, accounting, financial, or professional advice.
4.3 You are solely responsible for evaluating and applying any concepts within your organization and should seek professional advice where needed.
Sponsor presentations or peer discussions do not replace professional advisory relationships.

  1. Software and Digital Tools

5.1 Third-Party Applications
ScaleIQ may provide access to software or digital tools (the “Software Tools”), including but not limited to workflow, accounting, CRM, automation, or project-management systems.

5.2 Third-Party Responsibility
These Software Tools may be owned or operated by third parties. ScaleIQ makes no representations or warranties about their performance, accuracy, or availability.
Access to third-party tools may be revoked or changed at any time without notice, at the discretion of ScaleIQ or the third-party provider.

5.3 Member Responsibility
You are responsible for proper configuration, use, and compliance with all third-party terms. ScaleIQ is not liable for results, interruptions, or damages related to Software Tool use.

  1. Member Conduct and Confidentiality

6.1 Confidentiality
• Discussions within ScaleIQ meetings, forums, or events are confidential.
• Members agree not to share, record, take screenshots of, or repurpose another member’s confidential information.
• Recording, screenshots, or transcription of group discussions without prior consent are strictly prohibited.

6.2 Privacy Disclaimer
While ScaleIQ promotes confidentiality, it cannot control the actions of participants.
ScaleIQ is not liable for any breach, disclosure, or misuse of information by members, sponsors, or guests.
ScaleIQ reserves the right to monitor compliance and to address any confidentiality breaches at its sole discretion.

6.3 Professional Conduct
Members must behave professionally and respectfully.
Harassment, solicitation, or disruptive behavior may result in removal without refund.

  1. Sponsors, Partners, and Guest Contributors

7.1 Independent Roles
Sponsors and guest contributors act independently. Their opinions and materials do not represent ScaleIQ.

7.2 Sponsor-Led Sessions
Sponsor-led frameworks or presentations are educational in nature.
ScaleIQ does not warrant or endorse sponsor content or outcomes derived from it.

7.3 Separate Arrangements
If a member enters a separate business relationship with a sponsor or participant, that arrangement is entirely independent of ScaleIQ and governed by its own terms.
Sponsors and partners are encouraged to build genuine business relationships with members as part of the ScaleIQ ecosystem. However, they agree not to solicit, organize, or engage members in competing programs, groups, or activities that operate outside or in place of the ScaleIQ ecosystem without prior written consent.

  1. Intellectual Property

8.1 ScaleIQ Materials
All ScaleIQ materials—including frameworks, templates, branding, and proprietary models—are owned by ScaleIQ Business Solutions Inc.
You are granted a limited, non-transferable license for internal educational use only.
Reproduction or redistribution without written consent is prohibited.
This includes, without limitation, the ScaleIQ name, logos, digital assets, training materials, event recordings, and any derivative works thereof.

8.2 Third-Party and Participant Materials
From time to time, sponsors, partners, or members may share their own frameworks, documents, or intellectual property (“Third-Party Materials”).
Ownership of these materials remains with their creators, and they may be subject to separate licensing or confidentiality terms.
ScaleIQ does not control or assume liability for any Third-Party Materials or their subsequent use.

8.3 No Implied License
These Terms do not grant any license to use ScaleIQ, sponsor, or participant IP except as explicitly authorized.

  1. Liability and Risk

9.1 Member Responsibility for Implementation
You are solely responsible for how you apply ScaleIQ frameworks, tools, or learnings within your organization. Improper use or implementation is at your own risk.

9.2 Assumption of Risk
Participation in ScaleIQ programs involves inherent uncertainty and risk.
All Services are provided on an “as is” and “as available” basis without guarantees of outcome.

9.3 Limitation of Liability
To the fullest extent permitted by law, ScaleIQ, its affiliates, partners, sponsors, and members shall not be liable for indirect, incidental, or consequential damages.
In no event shall ScaleIQ’s total liability exceed the amount of membership fees actually paid by you in the twelve (12) months preceding the claim.

9.4 Indemnification
You agree to indemnify and hold harmless ScaleIQ and its affiliates from any claims or damages arising from your actions, breach of these Terms, or reliance on shared content.
Members acknowledge that ScaleIQ does not vet or verify the accuracy of information shared by participants and disclaims all responsibility for reliance on such information.

  1. Use of AI Tools and User Responsibility for AI Output

10.1 ScaleIQ may provide access to or incorporate artificial intelligence (“AI”) tools, content generators, or automated assistants within its platforms, events, or materials (collectively, “AI Features”). These tools are designed to enhance productivity, learning, and business support.

10.2 AI Features may produce outputs that are inaccurate, incomplete, or not applicable to every business context. Members and users are solely responsible for reviewing, validating, and verifying the accuracy and suitability of any AI-generated content before relying on it for decisions or implementation.

10.3 ScaleIQ makes no representations or warranties regarding the accuracy, reliability, or completeness of AI-generated output and shall not be liable for any actions, losses, or decisions arising from the use or interpretation of such content.

10.4 By using any AI Features provided through ScaleIQ, members acknowledge and accept that all AI-generated content is provided “as is” and is intended for informational and educational purposes only.

  1. Use of Member Names, Logos, and Testimonials

11.1 By participating in ScaleIQ programs, events, or sponsorships, you grant ScaleIQ a non-exclusive, royalty-free right to use your name, company name, logo, likeness, and any voluntarily provided testimonials or feedback for promotional, marketing, or educational purposes.

11.2 Such use may include—but is not limited to—digital or print materials, websites, presentations, case studies, and social media posts.

11.3 Members or sponsors who do not wish for their name, likeness, or logo to be used may opt out at any time by providing written notice to ScaleIQ. Upon receipt of such notice, ScaleIQ will make reasonable efforts to cease further promotional use.

  1. Force Majeure

ScaleIQ is not liable for any delay, failure, or modification caused by circumstances beyond its reasonable control, including but not limited to:
• Natural disasters or pandemics
• System outages or cyber-attacks
• Government restrictions or labor disputes
• Acts or failures of third-party vendors, hosting, or event-delivery platforms.

In such cases, ScaleIQ may modify delivery or postpone programs without refund or breach of contract.

  1. Modification of Offerings, Pricing, and Delivery

13.1 ScaleIQ reserves the right to modify, update, discontinue, or replace any part of its offerings—including membership tiers, sponsorship packages, program structure, content, event formats, or pricing—at any time.

13.2 ScaleIQ will make reasonable efforts to provide at least 30 days’ notice of any material changes to members or sponsors, unless circumstances beyond its control require shorter notice.

13.3 Continued participation after the effective date of such notice constitutes acceptance of the modified terms, pricing, or program structure.

  1. Termination and Removal

14.1 Termination for Cause
ScaleIQ may suspend or terminate access for violation of these Terms, misconduct, or non-payment.

14.2 Removal Without Recourse
ScaleIQ reserves the right to remove any member or sponsor without refund or liability if conduct or reputation conflicts with ScaleIQ’s values or disrupts the community.
Such termination may occur without notice, and no claims for damages, refunds, or reputational loss will be accepted.
Decisions regarding membership or sponsorship removal are made at the sole discretion of ScaleIQ and are final.

14.3 Survival
All confidentiality, IP, and liability clauses survive termination.

  1. Modification and Updates to Terms

ScaleIQ may update these Terms periodically. The current version will always be available on our website.
Continued use or participation following updates constitutes acceptance of the revised Terms.

  1. No Joint Venture or Employment

Participation in ScaleIQ programs does not create any partnership, agency, or employment relationship between ScaleIQ and any member, sponsor, or third party.
Nothing in these Terms shall be construed as creating a fiduciary or partnership obligation between the parties.

  1. Governing Law

These Terms are governed by and construed under the laws of the Province of Alberta, Canada.
Any dispute shall be resolved exclusively in the courts of Alberta.
Before initiating court proceedings, the parties agree to first attempt to resolve disputes through good-faith mediation in Alberta.

  1. Data Protection and Privacy

19.1 Personal data collected through registration or participation is processed in accordance with the ScaleIQ Privacy Policy available at https://scaleiq.group/privacy-policy/

19.2 In certain circumstances, ScaleIQ or its technology providers may have limited, incidental, or indirect access to information belonging to members, sponsors, or their organizations (“Client Data”). Such access is solely for the purpose of supporting program delivery, platform functionality, data security, or member experience.

19.3 ScaleIQ does not sell, trade, or otherwise provide Client Data to any external parties for marketing, resale, or unrelated purposes. Any handling of Client Data is performed only to fulfill contractual obligations or improve the Services provided to members and sponsors.

19.4 ScaleIQ implements reasonable administrative, technical, and physical safeguards to protect all information within its control against unauthorized access, disclosure, or misuse.

  1. Photo and Media Release

By attending in-person or virtual events, you consent to being photographed or recorded for promotional or educational purposes. 

If you do not wish to appear in photos or recordings, you may opt out by providing written notice to ScaleIQ prior to the event. ScaleIQ will make reasonable efforts to accommodate such requests.

  1. Severability and Entire Agreement

If any provision of these Terms is found invalid, the remaining provisions remain enforceable.
These Terms constitute the entire agreement between you and ScaleIQ.
